Draft — not yet legally reviewed

This document is a draft pending review by qualified legal counsel. Items shown in brackets still require input and must be resolved before publication.

By contributing to the fundraise for OnchainHunt tokens (“$HUNT” or the “Tokens”), you acknowledge and agree to the Futardio Terms of Service. Without limiting the foregoing, you also acknowledge and agree to all of the following information, terms, and conditions.

The descriptions, terms, and other content published on the OnchainHunt launch page were created, determined, and supplied exclusively by the prospective project contributors related to the ICO. Futardio is a technology platform used by the prospective project contributors; the owners and operators of Futardio and their affiliates are not the persons creating, endorsing, sponsoring, or discretionarily operating this ICO, and assume no responsibility or liability for the accuracy or completeness of such content.

1.No Guarantees

The Tokens are provided on an “as-is” and “as-available” basis. Participation in the fundraise does not come with any guarantees, promises, or assurances of any kind, including — but not limited to — financial return, performance, future utility, or access to any platform, product, or service, including the OnchainHunt platform.

2.Not an Offer of Securities

The Tokens do not represent a security, equity, loan, or ownership interest in any entity or project, including any entity operating the OnchainHunt platform. Participation in this fundraise is not intended to be, and shall not be construed as, an offering of securities, nor does it constitute an offer or solicitation in any jurisdiction where such activity is unlawful. You are responsible for refraining from participation if your jurisdiction does not permit it.

3.Eligibility & Restricted Jurisdictions

You represent and warrant that you are not a resident or citizen of, or located in, any jurisdiction where participation in token sales is prohibited or restricted, including [e.g., the United States, and any jurisdiction subject to comprehensive sanctions — CONFIRM LIST WITH COUNSEL]. You are solely responsible for compliance with the laws of your jurisdiction, including tax obligations.

4.Final Sale

All contributions made as part of the fundraise are final and non-refundable, except as provided by the protocol’s minimum funding threshold mechanism (see Section 8). By participating, you understand and accept that you will not otherwise be entitled to a refund or compensation under any circumstances, including but not limited to loss of value or inability to use the Tokens.

5.No Liability for Losses

To the fullest extent permitted by applicable law, neither the organizers of this fundraise nor any of their affiliates, agents, advisors, officers, or representatives shall be liable for any direct or indirect loss or damage you may suffer, including without limitation: trading losses; loss of data, revenue, profit, or opportunity; or any errors, delays, or technical failures related to the fundraise or the Tokens.

6.Nature of the ICO — Decentralized Decision Market

You acknowledge and agree that the ICO is a transaction entirely by and among ICO participants, in which participants contribute blockchain tokens into the sole control or custody of Solana-based smart contracts/programs as a method of establishing a decentralized autonomous decision market oriented toward the research, development, promotion, and/or utilization of the OnchainHunt project, governed by Futarchy.

These smart contracts/programs exist independently of Futardio or MetaDAO on the Solana blockchain and do not have a legal owner or custodian; they are controlled by the market-based governance process embedded in the decision market protocol. The deposited tokens do not represent a capital investment in any legal entity. The decision market (“DAO”) may revoke funds from the pool at any time, may cease using the funds for the currently contemplated project or contributors, and may direct them to other purposes. The current project contributors will not have discretionary or managerial control of the deposit pool; any services they provide are on an independent contractor basis to the community, as determined on an ongoing basis by the DAO. Tokens issued by the program in exchange for deposited funds are issued by the smart contract itself and are not sold or offered by Futardio, MetaDAO, or the project contributors.

7.DAO-Adjacent Entity (BORG)

The project contributors [have established / intend to establish] a cybernetic organization (“BORG”) as a segregated portfolio of Futarchy Governance SPC, a Cayman Islands entity, to hold intellectual property related to the OnchainHunt project and to receive any compensation the decision market approves for work done or to be done. The ICO does not represent an investment in the SPC or segregated portfolio; Token holders have no legal rights in or ownership of the SPC or segregated portfolio and are not owed fiduciary duties by its participants, but the SPC, in respect of the segregated portfolio, is legally required to abide by certain determinations of the decision market created by the ICO.

The intellectual property to be held by or licensed to the DAO entity includes:

  • The OnchainHunt web application and all source code ([GitHub repo/org URL])
  • Domain names: [onchainhunt.com and any others]
  • Brand assets: the OnchainHunt name, wordmark, compass logo, and brand guidelines
  • Social media accounts: [@handle on X, and any others]
  • Hosting, database, and third-party service accounts critical to operating the platform

8.Understanding the Mechanism

This is an onchain fundraising mechanism with a fixed token supply and an uncapped USDC raise. A minimum funding threshold applies. There is no in-protocol cap on the amount that may be claimed beyond the stated minimum. If the minimum funding threshold is not reached, all contributed funds will be returned to participants. By participating, you confirm that you understand the program and have reviewed the relevant documentation at docs.metadao.fi.

9.Risk Disclosures

Participation involves significant risk, including: total loss of contributed funds; extreme Token price volatility, including to zero; smart contract bugs or exploits; regulatory changes that may adversely affect the Tokens or the project; dependence on the continued operation of the Solana network; and the possibility that the OnchainHunt platform fails to achieve adoption or ceases operation. Never commit more than you can afford to lose.

10.Acceptance

By contributing or attempting to contribute to the fundraise for Tokens, you confirm that you have read, understood, and accepted the terms above.
